Confidentiality Agreement

This Confidentiality Agreement (“Agreement”) is entered into by and between Reliant Rides, LLC (“Disclosing Party”) and the undersigned recipient (“Receiving Party”). The effective date of this Agreement shall be the date indicated next to the Receiving Party’s signature below.

1. Purpose
The Disclosing Party intends to disclose certain confidential and proprietary information to the Receiving Party for the purpose of evaluating a potential investment opportunity in Reliant Rides, LLC.

2. Definition of Confidential Information
"Confidential Information" means any non-public, proprietary, or confidential data or information disclosed by the Disclosing Party to the Receiving Party, whether orally, in writing, electronically, or otherwise, including but not limited to business plans, financial data, customer and vendor information, operational details, marketing strategies, and intellectual property.

3. Obligations of Receiving Party
The Receiving Party agrees to:

Maintain the confidentiality of all Confidential Information;
Use the Confidential Information solely for the purpose stated above;
Not disclose the Confidential Information to any third party without prior written consent from the Disclosing Party;
Take reasonable measures to protect the confidentiality of the information.

4. Exclusions
This Agreement does not apply to information that:

Is or becomes publicly known through no fault of the Receiving Party;
Is already known to the Receiving Party prior to disclosure by the Disclosing Party;
Is disclosed with prior written approval of the Disclosing Party;
Is independently developed by the Receiving Party without reference to the Confidential Information.

5. Term
This Agreement and the Receiving Party’s duty to hold Confidential Information in confidence shall remain in effect for a period of two (2) years from the effective date.

6. No License or Obligation
Nothing in this Agreement grants the Receiving Party any rights in or to the Confidential Information except as expressly set forth herein. Disclosure does not obligate either party to proceed with any proposed business relationship or transaction.

7. Return or Destruction of Information
Upon request by the Disclosing Party, the Receiving Party shall promptly return or destroy all materials containing Confidential Information.

8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas.
